
Nomination Committee
The Nomination Committee is the shareholders’ governing body, which nominates Board members and the Auditor and proposes their fees, among other things.
Nomination committee principles and tasks
It is the AGM that decides on the principles for the selection of the nomination committee. According to the 2011 AGM, the nomination committee shall consist of five members. The members shall consist of the Chair of the Board of Directors as well as the four largest shareholders based on shareholdings known on the last banking day in August 2011, given that these wish to appoint a board member. The largest owners may also consist of a group of shareholders as long as they are organised as an owner group in the Euroclear system and have made public and notified the bank that they have entered into an agreement to take a coordinated exercise of their voting rights.
The nomination committee shall appoint the Chair from amongst itself. The Chair of the Board of Directors shall not be Chair of the Nomination committee. The committee’s mandate is for the period until a new Nomination Committee has been constituted.
A member who retires from the nomination committee before its work is completed shall be replaced, if the nomination committee so decides, with another person representing the same shareholder or with a person representing the next shareholder in turn in terms of size provided the said shareholder has not already appointed a representative to the nomination committee.
Members of the nomination committee shall not be compensated for their work or costs incurred.
The nomination committee has the right, at the expense of the Bank, to engage a head hunter or other external consultants which the nomination committee deems necessary in order to fulfil its assignment.

The Nomination Committee’s mandate shall be for the period until a new Nomination Committee has been constituted, which is normally in September each year.
